Infomedia Seizes AI Opportunity with 50% Stake in Intellegam

A Strategic Move into AI-Driven Automotive Solutions

The automotive industry is at a turning point, driven by the rise of connected cars, changing customer expectations, and a need for efficiency. As businesses scramble for smarter solutions, Infomedia Ltd (ASX:IFM) has made a bold move—securing a 50% stake in European AI startup Intellegam GmbH for €6.1 million (approximately AUD 10 million).

Infomedia’s CEO, Jens Monsees, is confident that this acquisition will drive significant innovation across its global platform.

“The partnership with Intellegam is an exciting milestone for Infomedia,” Monsees said. “Intellegam will bring cutting-edge generative AI technology, that’s purpose-built for the automotive sector, into our business.”

With two Chinese Original Equipment Manufacturer (OEM) brands already using Intellegam’s AI-powered repair data interpretation product, Infomedia sees enormous potential in integrating this technology into its own solutions.

Transaction Details: How the Deal is Structured

The €6.1 million investment is structured as a mix of cash payments over two years and approximately 2.85 million Infomedia shares, which will be escrowed for two years. Additionally, €1.2 million (approximately AUD 2 million) of the consideration will be injected directly into Intellegam as working capital.

The agreement also provides Infomedia with a pathway to acquire the remaining 50% of Intellegam over five years, contingent on meeting key financial and strategic performance targets. Future valuations will be tied to revenue and profitability, ensuring balanced incentives for Intellegam’s leadership while maintaining financial certainty for Infomedia.

Enhancing Infomedia’s Product Offering

By bringing Intellegam’s AI capabilities into its ecosystem, Infomedia aims to enhance its existing software suite and unlock new revenue opportunities. Intellegam’s proprietary AI platform offers a scalable IP that includes:

  • AI-driven repair data interpretation to streamline automotive service operations
  • Automated data ingestion that seamlessly integrates with existing enterprise systems
  • Secure cloud architecture ensuring data privacy and integrity
  • Accurate, curated information that minimises misinformation in AI-driven decision-making

“This acquisition reinforces our commitment to delivering intelligent, data-driven solutions that power the automotive ecosystem,” Monsees added. “By combining Intellegam’s innovative AI technology with our industry-leading software, we will bring new, high-value solutions to our customers.”

The AI Advantage in Automotive

Intellegam’s co-founder and CEO, Tobias Hetfleisch, believes the automotive sector is ripe for transformation.

“The automotive industry is undergoing rapid change, driven by connected cars, evolving customer expectations, and workforce shortages,” Hetfleisch said. “Businesses are looking for smarter solutions that enhance decision-making while optimising operations.”

With a strong foundation in data structuring, search, and AI-driven insights, Intellegam aims to bridge the knowledge gap within automotive businesses.

“Marc, Hannes, and I founded Intellegam with a clear mission: to transform unstructured, complex data into actionable knowledge,” Hetfleisch continued. “By collaborating with Infomedia, we’re equipping automotive businesses with AI solutions that genuinely support them through industry changes.”

Next Steps and Market Impact

The transaction, which is expected to close by March 1, 2025, is subject to standard closing conditions. D23 Capital & Advisory Pty Ltd acted as financial advisor for the deal, while Ashurst LLP provided cross-jurisdictional legal counsel.

While the acquisition is not expected to have a material impact on Infomedia’s FY25 financials, the long-term potential is significant. With its customer base spanning 50 OEM brands in 186 countries, Infomedia is well-positioned to scale Intellegam’s AI solutions globally.

As Infomedia continues to explore both organic and inorganic growth opportunities, this strategic investment underscores its commitment to remaining at the forefront of data-driven automotive solutions. Investors will be watching closely as the company integrates AI into its product suite and expands its market reach.
